PROGRAM PARTICIPATION AGREEMENT, TERMS OF USE & CONDITIONS

Effective Date: June 1, 2026

This is a legally binding agreement. By completing a purchase, enrolling in any program, accessing any content, or using any service offered by EAC Leadership House Inc., you confirm that you have read, understood, and agree to be bound by these terms.

If you do not agree, do not purchase, enroll, or access our products or services.

1. Parties and Acceptance of Terms

This Program Participation Agreement, Terms of Use and Conditions (“Agreement”) is entered into between EAC Leadership House Inc. (“Company,” “we,” “us,” or “our”), a corporation organized under the laws of the Province of Quebec, Canada, and you, the individual purchasing, enrolling in, or accessing our programs, services, or content (“Client,” “Participant,” or “you”).

By completing a purchase, submitting payment, clicking “I Agree,” enrolling in any program, or accessing any content or service, you:

• Represent that you are at least eighteen (18) years of age;
• Represent that you have the legal capacity to enter into a binding contract;
• Acknowledge that you have read and understood this Agreement in its entirety; and
• Agree to be legally bound by all terms and conditions set forth herein.

2. Company Information

EAC Leadership House Inc. is incorporated under the laws of the Province of Quebec, Canada.

This Agreement applies to all websites, domains, landing pages, learning portals, communities, payment pages, and digital properties owned or operated by the Company, including but not limited to:

• ThriveCart checkout pages
• Skool communities
• All future websites, portals, and subdomains operated by the Company

This Agreement governs all current and future offerings provided by the Company, including but not limited to:

• Keynote Presentations
• Corporate Workshops and Training
• Executive Advisory Services
• Consulting Services

The Company reserves the right to modify, discontinue, expand, replace, or update any offering at its sole discretion.

4. Educational and Informational Purposes Only

All programs, services, content, coaching, mentoring, consulting, advisory services, workshops, trainings, and resources provided by EAC Leadership House Inc. are offered exclusively for educational and informational purposes.

Nothing contained within our programs or materials constitutes, and should not be construed as:

• Legal advice or legal services
• Financial, investment, or tax advice
• Medical, psychological, or mental health advice, treatment, or therapy
• Employment, HR, or workplace legal advice

You are solely responsible for all decisions, actions, and outcomes arising from your participation in any program or use of any content.

5. No Guarantee of Results

However, there is no guarantee of any specific outcome, result, income, revenue, career advancement, promotion, business growth, client acquisition, leadership position, or personal transformation using the techniques and ideas in these materials.

When we present promotions, revenue and sales figures on our website and our other channels, we are showcasing exceptional results, which do not reflect the average experience.

You should not rely on any career advancement, promotion, revenue, sales, or earnings information we present as any kind of promise, guarantee, or expectation of any level of success or earnings. The Company will make reasonable efforts to disclose typical outcomes where required by law.

6. Payment Terms

All fees are quoted in the currency displayed at checkout. Payment is due at the time of purchase unless an approved payment plan has been offered and selected.

Payment Plans

Payment plans are financing arrangements, not subscriptions. When you enroll in a payment plan, you are committing to the full program fee, payable in installments. The following terms apply:

• You are responsible for the full remaining balance of your payment plan regardless of your participation level, attendance, completion, satisfaction, or results achieved.
• The obligation to complete all payments survives your voluntary withdrawal, inactivity, or termination from the program.
• If a payment fails, access to programs and content may be suspended until payment is successfully processed.
• The Company reserves the right to use third-party collection agencies or legal remedies to recover outstanding balances.

The total program fee, installment amounts, and payment schedule applicable to your enrollment are disclosed at the point of checkout prior to purchase.

7. Cancellation and Refund Policy

Please review the applicable refund policy for your specific purchase carefully before completing checkout. Refund terms vary by product type and are described below.

A. Digital Products (Vaults, Guides, Templates, Workbooks, Masterclasses, Recorded Trainings)

All sales of digital products are final at the time of purchase.

By completing your purchase of a digital product, you expressly acknowledge and agree that:

• Digital content will be delivered and made available to you immediately upon purchase;
• You are requesting immediate performance of the digital content delivery; and
• You consent to waive any applicable cancellation right arising from the immediate delivery of the digital content.

No refunds, credits, exchanges, or transfers will be provided for digital products once access has been granted.

B. Live Events, Workshops, Challenges, and Virtual Trainings

All registrations for live events, workshops, challenges, and virtual trainings are final once registration is completed. No refunds will be issued.

In the event the Company cancels or materially reschedules a live event, participants will be offered a credit toward a future offering of equivalent value.

C. Power Player Academy and Power Player CEO

A cancellation request may be submitted within seven (7) calendar days of your initial purchase date by emailing support@eloisegagnon.com, provided that you have not yet accessed, downloaded, or attended any program content.

After the expiration of the seven-day cancellation period, or upon your access to any program content (whichever occurs first), all sales become final and no refunds will be issued.

To request a cancellation, you must email support@eloisegagnon.com with your full name, purchase date, and order confirmation number.

D. Group Mentoring Programs, Intensives, and Corporate Services

Cancellation terms for group mentoring programs, intensives, and corporate services are as specified in the individual program or service agreement provided at enrollment. In the absence of a specific agreement, all sales are final once enrollment is confirmed.

Chargebacks

Initiating a chargeback or payment dispute with your financial institution instead of contacting the Company directly to resolve a concern constitutes a material breach of this Agreement. The Company reserves the right to pursue recovery of all disputed amounts, together with associated fees and costs, through available legal remedies.

8. Intellectual Property

All content, materials, methodologies, frameworks, presentations, recordings, videos, documents, graphics, templates, worksheets, training materials, manuals, downloads, resources, course content, and educational materials provided by EAC Leadership House Inc. are the exclusive proprietary property of the Company and are protected by applicable copyright, trademark, and intellectual property laws.

Protected intellectual property includes, without limitation:

• Power Player Academy and Power Player CEO program content
• Expert to Leader and CEO Series materials
• Communication Mastery Vault and Emotional Mastery Vault
• T.R.I.G.G.E.R. Method™
• The 5R Framework
• Pyramid of Leadership Communication
• Circle of Influence Activation
• AIR Framework and Communication Ceiling Framework
• Power Player Methodology
• All future proprietary frameworks, systems, methodologies, and intellectual property

No ownership rights are transferred to participants. Your purchase grants you a limited, revocable, non-exclusive, non-transferable license to access and use program materials for your own personal, non-commercial use only.

Without prior written authorization from the Company, you may not:

• Copy, reproduce, republish, or distribute any program materials
• Teach, license, resell, or commercially exploit any program content
• Modify, reverse engineer, or create derivative works from any materials
• Share login credentials, recordings, or materials with third parties
• Use program materials in any commercial context

9. Artificial Intelligence Restrictions

Without prior written consent from the Company, you may not:

• Upload program materials, recordings, transcripts, frameworks, or templates into any artificial intelligence system or platform;
• Use Company content or materials to train, fine-tune, or develop AI models;
• Generate derivative products, courses, programs, or content using Company intellectual property through AI tools;
• Create competing products or services based on Company intellectual property using artificial intelligence or automated tools.

Any violation of this section may result in immediate termination of access without refund and may subject you to legal action for intellectual property infringement and damages.

10. FTC Compliance, Testimonials, and Marketing Materials

The Company’s marketing materials, social media content, testimonials, and promotional content are intended to comply with the guidelines of the U.S. Federal Trade Commission (FTC).

Testimonial Disclosure

Testimonials, reviews, case studies, and success stories featured in the Company’s marketing materials represent the experiences of specific individual participants. These results are not typical. The Company does not guarantee that you or any other participant will achieve similar outcomes.

Participant Testimonial Grant

By participating in any program or service, you grant the Company permission to use your testimonials, reviews, comments, success stories, survey responses, social media posts, and feedback for marketing and promotional purposes, including across social media platforms, websites, and advertising.

The Company may edit testimonials for clarity, formatting, or length while preserving their substantive and accurate meaning. The Company will not edit testimonials in a manner that misrepresents your actual experience.

11. Confidentiality

Participants agree to maintain strict confidentiality with respect to all proprietary information, program discussions, materials, and personal information shared by other participants within Company programs and communities.

Confidential information includes, without limitation:

• Personal stories and experiences shared by other participants
• Coaching discussions and group session content
• Business information shared by other participants
• Program materials, frameworks, and methodologies
• Community discussions and interactions

This confidentiality obligation survives your completion of, withdrawal from, or termination from any program.

12. Recordings and Media Release

The Company may record live sessions, workshops, trainings, coaching calls, events, and community interactions for educational, training, marketing, and business purposes.

By participating in any live session, workshop, or event, you grant the Company a perpetual, royalty-free, worldwide license to record, reproduce, edit, distribute, display, and use your voice, image, likeness, comments, chat contributions, questions, testimonials, and participation for educational, training, marketing, promotional, and business purposes.

The Company may utilize transcription services, captioning tools, and artificial intelligence-based transcription technologies in connection with recorded content. All recordings remain the exclusive property of the Company.

13. Community Standards

The Company maintains a professional, respectful, and supportive learning environment. All participants are expected to conduct themselves with professionalism and courtesy.

Participants may not engage in any of the following within Company programs, communities, or events:

• Harassment, bullying, or abusive behavior toward any participant or Company representative
• Discrimination on the basis of race, gender, religion, nationality, sexual orientation, disability, or any other protected characteristic
• Unsolicited solicitation of clients, customers, or recruits from the community
• Spamming, repetitive messaging, or disruptive conduct
• Sharing or distributing other participants’ personal information without consent
• Any conduct that disrupts the learning environment or experience of other participants

The Company reserves the right to remove any participant from a program or community at its sole discretion for violation of these standards. No refund will be issued following removal resulting from a conduct violation.

14. Limitation of Liability

To the maximum extent permitted by applicable law, EAC Leadership House Inc., its officers, directors, employees, contractors, agents, affiliates, successors, and assigns shall not be liable for any indirect, incidental, consequential, special, punitive, exemplary, or economic damages arising from your participation in any program, service, event, workshop, training, advisory engagement, or use of any digital product.

The Company’s total aggregate liability to you for any claim arising under or related to this Agreement shall not exceed the total amount actually paid by you to the Company during the twelve (12) months immediately preceding the event giving rise to the claim.

Some jurisdictions do not allow the exclusion or limitation of certain damages. To the extent such limitations are not permitted under applicable law in your jurisdiction, the above limitations apply to the fullest extent permitted.

15. Indemnification

You agree to indemnify, defend, and hold harmless EAC Leadership House Inc. and its officers, directors, employees, contractors, agents, affiliates, successors, and assigns from and against any and all claims, damages, liabilities, losses, costs, and expenses (including reasonable legal fees) arising out of or related to:

• Your breach of any provision of this Agreement;
• Your misuse of Company programs, materials, or intellectual property;
• Your conduct in connection with Company programs or communities;
• Your violation of any applicable law or regulation; or
• Your actions or interactions with other participants.

16. Force Majeure

The Company shall not be liable for any delay, interruption, cancellation, or inability to perform its obligations resulting from circumstances beyond its reasonable control, including but not limited to illness, family emergencies, internet outages, platform failures, government actions, natural disasters, acts of God, war, labor disruptions, or travel restrictions.

In such circumstances, the Company will use reasonable efforts to reschedule or provide alternative delivery of affected services. If rescheduling is not reasonably practicable, the Company may, at its sole discretion, offer a credit toward a future program of equivalent value.

17. Termination

The Company reserves the right to suspend or terminate your access to any program, service, or community immediately and without prior notice for:

• Breach of any provision of this Agreement;
• Intellectual property violations;
• Payment default;
• Harassment of other participants or Company representatives;
• Unauthorized sharing, distribution, or use of program materials; or
• Any conduct the Company determines, in its sole discretion, to be harmful to the community or Company.

Termination does not extinguish any outstanding financial obligations. You remain responsible for all amounts owed under any payment plan regardless of termination.

18. Privacy and Data Protection

The Company collects and processes your personal information in accordance with its Privacy Policy, available at eloisegagnon.com, which is incorporated into this Agreement by reference.

By entering into this Agreement, you acknowledge that you have reviewed the Company’s Privacy Policy and consent to the collection, use, and processing of your personal information as described therein.

The Company’s privacy practices are designed to comply with applicable Canadian privacy law, including Quebec’s Act Respecting the Protection of Personal Information in the Private Sector (Law 25), the Personal Information Protection and Electronic Documents Act (PIPEDA), and Canada’s Anti-Spam Legislation (CASL). Clients located in other jurisdictions, including the United States and the European Union, may have additional rights under applicable local law.

19. Dispute Resolution

Informal Resolution

Before initiating any formal legal proceeding, you agree to contact the Company at support@eloisegagnon.com to describe your concern and attempt to resolve the matter informally. The parties agree to engage in good-faith negotiations for a period of thirty (30) days following written notice of a dispute before pursuing formal proceedings.

Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the Province of Quebec and the applicable federal laws of Canada, without regard to conflict of law principles.

Jurisdiction

Subject to the informal resolution process above, the parties irrevocably submit to the exclusive jurisdiction of the courts located in Montreal, Quebec, Canada for the resolution of any dispute arising out of or in connection with this Agreement.

U.S. Clients

Clients located in the United States acknowledge that this Agreement is governed by Canadian law and that disputes will be resolved in Canadian courts. Nothing in this Agreement limits any rights you may have under applicable U.S. federal or state consumer protection law that cannot be waived by contract.

20. Electronic Communications and CASL Compliance

By purchasing any product or service, registering for any program, or providing your email address to the Company, you consent to receive electronic communications from EAC Leadership House Inc., including:

• Transactional communications related to your purchase or enrollment;
• Program updates, schedules, and operational notices;
• Marketing and promotional communications regarding Company programs and offerings.

You may withdraw your consent to receive marketing communications at any time by clicking the unsubscribe link in any marketing email or by contacting support@eloisegagnon.com. Withdrawal of consent does not affect your receipt of transactional communications related to active purchases or enrollments.

21. General Provisions

Entire Agreement

This Agreement, together with the Company’s Privacy Policy and any program-specific enrollment documents, constitutes the entire agreement between you and EAC Leadership House Inc. with respect to the subject matter hereof, and supersedes all prior discussions, representations, understandings, and agreements.

Amendment

The Company reserves the right to modify this Agreement at any time. Material changes will be communicated to active clients by email to the address on file, with at least fourteen (14) days’ notice before taking effect. Your continued participation in any program after the effective date of any amendment constitutes acceptance of the updated terms. The current version of this Agreement is always available at eloisegagnon.com.

Severability

If any provision of this Agreement is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, that provision shall be modified to the minimum extent necessary to make it enforceable, and the remaining provisions shall continue in full force and effect.

No Waiver

The Company’s failure to enforce any provision of this Agreement shall not constitute a waiver of its right to enforce that provision or any other provision in the future.

Assignment

You may not assign or transfer your rights or obligations under this Agreement without the prior written consent of the Company. The Company may assign this Agreement in connection with a merger, acquisition, or sale of assets without your consent.
